These Terms and Conditions (“Terms”) govern your access to and use of the ROTA Money mobile application (the “App”), operated by ROTA Financial Technologies Limited (“ROTA”, “we”, “our”, or “us”).

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

1. About ROTA Money

ROTA Money is a digital platform that enables users to create, manage, and participate in Rotating Savings and Credit Associations (ROSCAs), commonly known as chamas.

ROTA Money provides technology and record-keeping tools only and does not:
• Act as a bank, lender, or financial institution
• control users’ funds
• Guarantee contributions, payouts, or financial outcomes

2. Eligibility

To use the App, you must:

• Be at least 18 years old
• Have legal capacity to enter into binding agreements under Kenyan law
• Provide accurate and truthful information during registration

ROTA reserves the right to suspend or terminate accounts that do not meet these requirements.

3. User Accounts
• You are responsible for maintaining the confidentiality of your login credentials
• You agree to notify ROTA immediately of any unauthorized access or security breach
• You are fully responsible for all activities conducted through your account

ROTA is not liable for losses resulting from your failure to safeguard your credentials.

4. Chama Participation & Responsibilities

By joining or creating a chama on ROTA Money, you acknowledge that:
• All contribution rules, payout schedules, and group decisions are agreed solely by members
• ROTA does not mediate disputes between members
• ROTA does not enforce contributions or payouts
• ROTA does not verify the creditworthiness or conduct of members

Any disputes, defaults, or disagreements are the responsibility of the chama members.

5. Payments & Mobile Money
• Payments are processed through licensed mobile money providers
• ROTA does not store mobile money PINs or payment credentials
• Transaction delays or failures caused by third-party providers are outside ROTA’s control

ROTA is not responsible for errors or losses arising from mobile money services.

6. Acceptable Use

You agree not to:
• Use the App for unlawful, fraudulent, unethical or deceptive activities
• Provide false or misleading information
• Interfere with the App’s security or functionality
• Harass, abuse, or harm other users
• Attempt unauthorized access to systems or data

Violation of these rules may result in suspension or termination without notice.

7. Data Protection & Privacy

ROTA processes personal data in accordance with the Kenya Data Protection Act, 2019.

8. Intellectual Property

All content, software, trademarks, logos, and designs within the App are owned by or licensed to ROTA.

You may not copy, modify, distribute, or exploit any part of the App without prior written consent.

9. Service Availability
• The App is provided on an “as is” and “as available” basis
• We do not guarantee uninterrupted or error-free operation
• Maintenance, updates, or outages may occur from time to time

ROTA is not liable for service interruptions beyond reasonable control.

10. Limitation of Liability

To the maximum extent permitted under Kenyan law:
• ROTA shall not be liable for financial losses arising from chama activities
• ROTA shall not be liable for missed contributions, defaults, or disputes
• ROTA shall not be liable for indirect, incidental, or consequential damages

Your use of the App is at your own risk.

11. Indemnity

You agree to indemnify and hold harmless ROTA, its directors, employees, and partners from any claims, losses, or liabilities arising from:
• Your misuse of the App
• Your breach of these Terms
• Disputes between you and other users

12. Suspension & Termination

ROTA may suspend or terminate your access if:
• You breach these Terms
• You engage in fraudulent or illegal activity
• Required by law or regulatory authorities

Termination does not affect obligations incurred prior to termination.

13. Changes to These Terms

We may update these Terms from time to time.
Material changes will be communicated via the App or website.

Continued use of the App after changes constitutes acceptance.

14. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Kenya.

Any disputes shall be subject to the exclusive jurisdiction of Kenyan courts.
